# Skinform – Terms of Service (Draft)

We license you access to our content and tools. It’s educational only and not medical advice. Subscriptions auto‑renew until cancelled. ## 2) What these terms cover

 

These Terms of Service (the “Terms”) govern your access to and use of the Skinform website, content, databases, tools, downloads, and any related services (collectively, the “Service”). By creating an account, starting a trial, or using the Service, you agree to these Terms.

 

If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. Where the user is an organisation, references to “you” include your authorised users (e.g., seat holders in a team plan).

 

## 3) Eligibility

 

* You must be **18+** to use the Service.

* The Service is aimed at **professional users** (e.g., skin therapists, clinicians, clinic owners, educators). Consumers may access the Service but do so as learners; **the Service does not provide medical advice**.

* You are responsible for ensuring that use of the Service is lawful in your country.

 

## 4) Accounts & security

 

* You must provide accurate registration information and keep it up to date.

* Keep your login credentials confidential. You must **not share** logins outside your plan’s permitted seats.

* You are responsible for activity on your account. Notify us immediately of any unauthorised access or security incident.

 

## 5) Subscription plans, trials & billing

 

**a) Plans & auto‑renewal.** Access is provided via paid subscriptions (e.g., Solo, Clinic/Team, Enterprise) and may begin with a free trial or preview. Subscriptions **auto‑renew** at the end of each billing period unless cancelled.

**b) Prices & taxes.** Prices are shown **inclusive/exclusive of VAT** as indicated at checkout. You authorise us (and our payment processor, e.g., Stripe) to charge your chosen payment method for the subscription and applicable taxes.

**c) Changes to pricing or plans.** We may change plan features or pricing with reasonable notice. Changes take effect on your next renewal unless stated otherwise.

**d) Cancellation.** You can cancel at any time via your account; your access will continue until the end of the current billing period. **No refunds** are provided for partial periods except where required by law.

**e) Cooling‑off for consumers (UK/EU).** If you are a consumer, you may have a statutory **14‑day cooling‑off** period for distance purchases. **However, by accessing the digital content during the cooling‑off period you consent to immediate supply and acknowledge you may lose the right to cancel** to the extent permitted by law. Your statutory rights are not affected.

**f) Failed payments.** If a payment fails, we may suspend or terminate access until payment is resolved.

**g) Promotions.** Promotional offers may be subject to additional terms.

 

## 6) Team/Enterprise seats & permissions

 

* Team/Enterprise plans include a set number of **seats** (with the ability to add more). Each seat is for an individual named user.

* Admins may invite users, assign roles, and revoke access. You are responsible for your users’ compliance with these Terms.

* Shared features (e.g., saved libraries) are visible to team members according to your settings.

 

## 7) What you’re allowed to do (licence)

 

Subject to these Terms and payment of applicable fees, Skinform grants you a **limited, non‑exclusive, non‑transferable, revocable licence** to access and use the Service for your own professional learning, clinic operations, and internal business purposes.

 

You may:

 

* View, search, and reference Skinform content and tools;

* Download materials designated as downloadable for your **own** clinic use (e.g., consent/aftercare templates), subject to any file‑specific terms;

* Cite our content in your internal documentation with **attribution** to Skinform and original sources where applicable.

 

## 8) What you must not do (acceptable use)

 

You agree **not** to:

 

* **Copy, scrape, mine, archive, or systematically download** the database or any substantial part of the Service;

* **Resell, sublicense, redistribute, publish, or make available** our content or tools to third parties (including posting behind your own paywall or sharing externally);

* Circumvent access controls, rate limits, or security measures;

* Use bots or automated means without our written consent;

* Reverse engineer or create derivative databases using Skinform data;

* Use the Service to provide a competing product or benchmarking without consent;

* Upload unlawful, infringing, or harmful content;

* Misrepresent our content as clinical instructions or device/medicine approvals;

* Violate any applicable law or regulation.

 

We may monitor usage to protect the Service and enforce these Terms.

 

## 9) Educational & medical disclaimers

 

* **Educational only.** Skinform provides **educational information** to support professional learning and decision‑making. It **does not constitute medical advice, diagnosis, clinical decision support, or treatment recommendations** and is **not a medical device**.

* **No patient‑specific advice.** We do not know your clients’ medical histories. You must exercise independent professional judgement, obtain informed consent, and follow applicable standards, insurance conditions, and regulations.

* **Sources & references.** We reference reputable sources (e.g., BNF, NICE, NHS, BAD, DermNet, PubMed/NIH, EMA, FDA, WHO) but are **not affiliated** with these bodies. Information can change; always verify against the current primary source.

* **No emergency use.** The Service is not for emergencies. For medical emergencies, call local emergency services.

 

## 10) Content ownership & intellectual property

 

* **Our content.** All content, databases, text, graphics, logos, icons, tools, and software are owned by Skinform or our licensors and are protected by IP laws. Except for the licence in section 7, **no rights are transferred** to you.

* **Trademarks.** “Skinform” and associated marks are our trademarks. You must not use them without permission.

* **User content.** If you submit content (e.g., feedback, ratings, comments, uploaded materials), you grant Skinform a **worldwide, royalty‑free, sublicensable licence** to use, reproduce, display, and improve the Service. Do not submit confidential or patient‑identifiable information.

 

## 11) Notice-and-takedown for IP concerns

(a) identification of the work you claim is infringed; (b) the allegedly infringing material and its location; (c) your contact details; (d) a statement of good‑faith belief; and (e) a statement that the information is accurate and you are authorised to act. ## 12) Data protection & privacy

 

Your use of the Service is subject to our **Privacy Policy**. We act as a controller for account data and as appropriate for any uploads. **Do not upload personal health data** or any special category data unless we expressly agree in writing and provide appropriate safeguards. You must comply with applicable data protection laws when handling client information outside the Service.

 

## 13) Third‑party services & links

 

The Service may link to third‑party websites, tools, or content (including external guidelines). We are **not responsible** for third‑party content or practices. Your use of third‑party services is governed by their terms and policies.

 

## 14) APIs & integrations (if/when available)

 

Use of any Skinform API or integration is subject to these Terms and any additional API terms. We may set rate limits and revoke access for abuse or security reasons. You must not use APIs to replicate or compete with the Service.

 

## 15) Availability, maintenance & changes

 

We aim to keep the Service available, but **uptime is not guaranteed**. We may suspend or limit access for maintenance, updates, or security. Features may change or be discontinued. If we materially reduce functionality for a paid plan, we’ll provide reasonable notice.

 

## 16) Suspension & termination

 

We may suspend or terminate access immediately if you materially breach these Terms (e.g., sharing logins, scraping, redistribution, or non‑payment). You may terminate at any time via your account. Upon termination, your licence ends and you must stop using Skinform content (except for materials you are expressly allowed to keep under a separate file licence). We may retain minimal account data as required by law and for legitimate business purposes.

 

## 17) Warranties & disclaimers

 

The Service is provided **“as is” and “as available.”** To the fullest extent permitted by law, we **disclaim all warranties**, express or implied, including warranties of accuracy, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be error‑free or uninterrupted, or that information will always be current. **Always verify against primary sources and exercise professional judgement.**

 

## 18) Limitation of liability

 

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under law.

 

To the fullest extent permitted by law:

 

* We are **not liable** for indirect, consequential, exemplary, or special damages, including loss of profits, revenue, data, goodwill, or business interruption; and

* Our **total aggregate liability** arising out of or relating to the Service is limited to the **amount you paid to Skinform in the 12 months** before the event giving rise to the claim.

 

If you are a consumer, the above limitations apply only to the extent permitted by the **Consumer Rights Act 2015** and your statutory rights are not affected.

 

## 19) Indemnity (business users)

 

If you use the Service for business, you agree to **indemnify and hold harmless** Skinform and our officers, employees, and contractors from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your (a) use of the Service; (b) breach of these Terms; (c) infringement of third‑party rights; or (d) misuse of data.

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., internet outages, hosting failures, cyber incidents, strikes, acts of government, natural events).

 

## 21) Changes to these Terms

 

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by email or in‑product). Continued use after the effective date constitutes acceptance of the updated Terms.

 

## 22) Governing law & jurisdiction

 

These Terms and any non‑contractual obligations are governed by the **laws of England and Wales**. The courts of **England and Wales** will have exclusive jurisdiction, except that consumers resident in the UK/EU may also bring claims in their local courts as required by law.

* **Entire agreement.** These Terms and any referenced policies (e.g., Privacy Policy, API terms) are the entire agreement between you and Skinform.

* **No waiver.** Failure to enforce a provision is not a waiver.

* **Severability.** If a provision is unenforceable, the remainder stays in effect.

* **Assignment.** You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.

* **Headings.** Headings are for convenience only.
